1. SPONSOR: This Component Moment Sweepstakes (the “Sweepstakes”) is sponsored by Caterpillar Inc. (“Sponsor” or “Caterpillar”) located at 5205 N. O’Connor Boulevard, Suite 100, Irving, Texas 75039.  

2. SOCIAL MEDIA DISCLOSURE: THIS PROMOTION IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH THE SOCIAL MEDIA PLATFORM ON WHICH IT IS ADVERTISED OR OTHERWISE USED TO SOLICIT ENTRIES OR FEEDBACK INCLUDING FACEBOOK®, INSTAGRAM®,  AND X®(FKA TWITTER®) OR THEIR PARTNERS, PARENT COMPANY, AFFILIATED COMPANIES AND SPONSORING ORGANIZATIONS. Entrants are providing information to the Sponsor and not to any social media platform. The information provided will be used for administering this Promotion and for marketing purposes as more fully set forth in Sections 10 and 12 of these Official Rules. 

3. ELIGIBILITY: To be eligible to participate in this Sweepstakes, an individual must: 

a. be at least eighteen (18) years old as of the start of the Entry Period (as that term is defined below); 

b. be a legal resident of and located in the United States (excluding Florida, New York, Rhode Island, and the U.S territories and freely-associated states) and the District of Columbia as of the start of the Entry Period (as that term is defined below); and  

c. own a Cat® engine or Cat® engines as of July 31, 2025. 

Officers, directors and employees of Caterpillar and its parents, agents, subsidiaries, and affiliated companies, divisions, dealers, attorneys, advertising, government officials, and promotion agencies including, without limitation, Gelia Wells & Mohr, Inc. (“Gelia”), and the immediate family members and household members of any of the above, are not eligible to participate in this Sweepstakes. Immediate family includes spouses, parents, step-parents, siblings and step-siblings, children and step- children. Household members include all people who share the same residence at least three (3) months of the year.   

4. ENTRY PERIOD: This Sweepstakes begins on August 1,  2025 at 12:01 AM CT, and ends on September 30, 2025 at 11:59 PM CT (the “Entry Period”). After the expiration of the Entry Period, the Sweepstakes will be closed and no further Entries (as that term is defined below) will be accepted. 

5. HOW TO ENTER:  

a. There are two (2) ways for eligible Entrants (as that term is defined below) to enter this Sweepstakes: (1) persons eligible to enter the Sweepstakes must log on to www.cat.com/componentmoment (the “Website”) and complete and submit the  Sweepstakes entry form with such person’s full legal name, complete mailing address, e-mail address, daytime telephone number, and such additional information requested by the entry form on the Website during the Entry Period; (2) mail a 3” x 5” postcard with the individual’s full legal name, complete mailing address, e-mail address, daytime telephone number, and any additional information required by these Official Rules (as that term is defined below) during the Entry Period. Both online entries and postcard entries will be entered on the day they are received, and must be received by Sponsor no later than September 30, 2025 at 11:59 PM CT. Sponsor is not responsible for any mail not received by this date.  The entry form submission and the mailing of a postcard or selection of the submission button by such person, as described above, is referred to herein as an “Entry” and all such entries are collectively referred to as the “Entries.” Each person that submits an Entry in accordance with these Official Rules shall be referred to as an “Entrant” and collectively all such persons shall be referred to as “Entrants.” Any person who desires to submit an Entry must provide all information required by these Component Moment Sweepstakes Official Rules (the “Official Rules”) in order to have his/her Entry entered into the Sweepstakes.  Each Entrant must review, consent to and abide by these Official Rules at the time of submission of his/her Entry.  Each Entrant must comply with these Official Rules. Failure to comply with these Official Rules by any person gives Sponsor the power, in its sole discretion, to disqualify said person from the Sweepstakes. 

b. Entrants must also identify an associated company or sole proprietorship on their Entry form. Any Prize (as that term is defined below) awarded under this Sweepstakes will be issued in the name of the company or sole proprietorship listed on the winning Entry.  Each selected Entrant may be required to provide Sponsor with proof that the selected Entrant is an authorized representative/employee of the stated company. 

c. Each Entry must be submitted via the Website or postcard during the Entry Period.  

d. There is a limit of one (1) Entry per person; however they may register up to three engines per entry. 

e. Entries received online shall be deemed to be submitted by the authorized account holder of the e-mail address associated with the Entry.  For the purpose of these Official Rules, “authorized account holder” of an e-mail address is defined as the natural person who is assigned to an e-mail address by an internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.  The selected Entrant may be required to provide the Sponsor with proof that the selected Entrant is the authorized account holder of the e-mail address associated with the winning Entry. 

f. All Entries become the sole property of the Sponsor and none will be returned for any reason.  

g. Lost, late, incomplete, inaccurate, stolen, misdirected, corrupted or illegible Entries are void and will not be considered.  Any disputes regarding ownership and/or validity of any Entry will be resolved by the Sponsor in its sole discretion. 

h. Entries are not transferable or assignable. Automated entries are prohibited, and any use of automated devices will cause disqualification. Sponsor is not responsible for incorrect or inaccurate Entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Promotion or by any technical or human error which may occur in the processing of the Entries. 

i. Entrants may also be presented with the option to receive future communications before submitting their Entry. Consent to receiving future marketing is not necessary to enter or win the Sweepstakes. Entrants will also be provided the ability to opt-out of future marketing after submitting their Entry. 

j. The awarding of the Prize (as described below) is contingent upon full compliance with these Official Rules. Entrants agree to be bound by the Official Rules. Any violation of these rules may, at the Sponsor’s discretion, result in disqualification. The results of this Sweepstakes are final and binding in all respects. 

6. PRIZES TO BE AWARDED:  

a. There will be a total of nine (9) prizes (each individually defined as a “Prize” and collectively as, the “Prizes”) available to be won by eligible Entrants: one (1) grand Prize (the “Grand Prize”); three (3) second place Prizes (each individually defined as a “Second Place Prize” and collectively as “Second Place Prizes”); and five (5) third place Prizes (each individually defined as a “Third Place Prize” and collectively as “Third Place Prizes”). 

b. The verified Grand Prize Winner will receive $1,000.00 (One Thousand Dollars) in Cat Credits with an approximate retail value (“ARV”) of $1,000.00 (One Thousand Dollars).  

c. The three (3) verified Second Place Prize Winners will each receive $500.00 (Five Hundred Dollars) in Cat Credits with an ARV of $500.00 (Five Hundred Dollars) each. The aggregate ARV of the Second Place Prizes is $1,500.00 (One Thousand Five Hundred Dollars).  

d. The five (5) verified Third Place Prize Winners will each receive $100.00 (One Hundred Dollars) in Cat Credits with an ARV of $100.00 (One Hundred Dollars) each. The aggregate ARV of the Third Place Prizes is $500.00 (Five Hundred Dollars).  

e. The ARV of all Prizes awarded in the Sweepstakes is $3,000.00 (Three Thousand Dollars). 

f. Cat Credits can be used towards the purchase of parts, service, work tools, and/or rentals at participating Cat dealers, The Cat Rental Store or at approved online retailers - Parts.cat.com and Cat Central. 

g. Cat Credits are not legal tender and cannot be redeemed for cash or cash equivalents. Cat Credits are non-transferable, and may not be used to purchase items for personal, family or household use. Cat Credits can only be used in accordance with the Cat Credits Rules, which can be accessed at https://www.cat.com/en_US/promotions/cat-credits.html. 

h. Each Entrant must comply with these Official Rules and the Cat Credits Rules. 

i. All Prizes will be issued in the name of the company or sole proprietorship included in a Winner’s Entry.    

j. The Prize must be accepted as awarded. The Prize may not be transferred, split, substituted, assigned, or redeemed for cash or cash equivalents. All Prize details not specified in the Official Rules and Cat Credits Rules will be determined in Sponsor’s sole and absolute discretion.  Certain restrictions and black-out dates may apply. Additional Prize award details to be provided to the Winner at the time of notification. 

k Any difference between stated ARV and actual value of the Prize will not be awarded.  The ARV of the Prizes is based on available information provided to Sponsor and the value of any Prize awarded to a Winner may be reported for tax purposes where required by law.  All applicable taxes on the Prize, including but not limited to U.S. federal, state and local income taxes, are the sole responsibility of the Winner, for which the Winner may be issued a U.S. 1099 tax form. Winners may be required to provide the Sponsor with a valid tax identification number and any other information necessary for tax reporting purposes prior to the Prize being awarded. Furthermore, Winners shall co-operate with Sponsor by completing any additional tax related documentation to be eligible to win. 

l. Winners may be required to complete, sign, and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release, within seven (7) days of attempted notification or the Prize may be forfeited. Sponsor is not responsible for any change of e-mail address, mailing address, and/or telephone number of Entrants. 

7. WINNER IDENTIFICATION AND SELECTION:  

a. On or about October 1, 2025, Sponsor will conduct a random drawing from among all eligible Entries received. A total of nine Prizes will be awarded to the winners (each individually defined as a “Winner” and collectively as, the “Winners”), with the first Entrant selected being named the Grand Prize Winner and awarded the Grand Prize. The Winners shall be announced on the Website on or about October 8, 2025, and shall remain posted there for a minimum of thirty (30) business days. The odds of winning depend on the number of eligible Entries received during the Entry Period.   

b. No more than the stated number of Prizes will be awarded by the Sponsor or any other party. 

c. No Entrant may be awarded more than one (1) Prize. 

d. If a Winner is eighteen (18) or older, as is required for Entry, but not of the age of majority in state of residence, the Prize will be awarded to his/her parent or legal guardian and such Prize will be delivered to such parent/legal guardian and awarded in the name of parent/legal guardian. 

e. The Winner, by submitting an Entry and claiming the Prize, affirms and agrees that he/she: (i) is eligible for the Sweepstakes and is in compliance with these Official Rules; (ii) accepts the Prize as offered; (iii) releases the Sponsor and its parent companies, subsidiaries, affiliates and/or related companies and each of their employees, directors, officers, suppliers, agents, sponsors, administrators, licensees, representatives, advertising, media buying and promotional agencies, including without limitation Gelia, from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Sweepstakes, participation in any Sweepstakes-related activity or the acceptance, use, or misuse of the Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom; and (iv) is willing to cooperate in good faith with the Sponsor, its affiliates, its agents and any advertising and promotional agencies, including without limitation Gelia, to coordinate and participate in any reasonable marketing and promotional activities regarding Winner’s acceptance and use of the Prize. 

8. WINNER NOTIFICATION: The week of the selection of the Winners of the Prizes, the Winners will be notified by the Sponsor by electronic mail and/or by telephone using the information provided on his or her Entry. Notification will be attempted a maximum of three (3) times. If any selected Entrant does not respond to the notification within seven (7) business days of the final attempted contact; if the contact information provided is non-operative or non-operational; if the selected Entrant is unwilling or unable to accept the Prize offered or agree to the terms of the Official Rules and Cat Credit Rules, the Prize will be forfeited, and the next alternative Entrant will be randomly selected and deemed the winner. 

9. PRIZE DELIVERY: After a Winner has been successfully notified of his or her Prize and has fulfilled the requirements set forth herein, the Sponsor will attempt to deliver a Prize to said Winner via an electronic certificate sent to the e-mail address provided by the Winner on their online Entry form.  The Sponsor shall not assume any liability for lost, damaged or misdirected Prizes.  If a Prize cannot be delivered to the e-mail address provided by the selected Winner for any reason (including, without limitation, the invalidity of the e-mail address listed on the Entry), Sponsor may, in its sole discretion, declare such Entry invalid (in which case the selected Winner of the invalid Entry will forfeit any Prize), and the next alternative Entrant from all of the remaining eligible Entrants may be randomly selected in accordance with Sections 7 and 8 of these Official Rules. The Sponsor shall not be liable if the Prize is prohibited from being provided due to unforeseen circumstances including, but not limited to, acts of God or other circumstances beyond Sponsor´s reasonable control. If a Prize cannot be awarded for any reason, Sponsor reserves the right to substitute the Prize with another Prize of equal or greater value. The Sponsor makes no warranty, guaranty, or representation of any kind concerning any Prize and disclaims any implied warranty. 

10. PRIVACY AND USE OF INFORMATION: By participating in the Sweepstakes, each Entrant consents to future communications being sent to the Entrant, subject to a right to “opt out” and cease all future correspondence, the use of his/her, name, photograph, likeness, voice, and biographical information for publicity or advertising purposes without further notice or compensation, to the extent permitted by law. By participating in the Sweepstakes, each Entrant (a) grants to the Sponsor and its respective authorized agents the right to use his/her name, address, telephone number, e-mail address, and such other information provided in connection with registering for the Sweepstakes (“Personal Information”) for the purposes of administering the Sweepstakes including, but not limited to, contacting and fulfilling the award of the Prize; (b) grants to Sponsor the right to use his / her Personal Information for promotional purposes relating to the Sweepstakes, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; and (c) acknowledges that the Sponsor may disclose his/her Personal Information to third-party agents and service providers of the Sponsor in connection with any of the activities listed in (a) and (b) above. Personal Information will not otherwise be sold, shared or disclosed in any manner or for any other purposes by the Sponsor or any related entities, unless Entrant has otherwise agreed. The Sponsor will process the Entrant’s Personal Information in a manner that is consistent with the Sponsor’s Global Data Privacy Statement, located at http://www.caterpillar.com/dataprivacy and, to the extent applicable Data Governance Statement, located at https://www.caterpillar.com/datagovernance, as each may be updated from time to time. 

11. TERMS AND CONDITIONS: All Entries become the exclusive property of the Sponsor and will not be returned or acknowledged. Proof of Entry submission does not equate to proof of receipt. Entries are only valid if actually received by the Sponsor. The Sponsor is not obliged to enter into any correspondence with any Entrant or potential Entrant. The Sponsor and each of its respective parent companies, subsidiaries, affiliates, or limited liability companies, any of their respective employees, shareholders, directors, officers, members, personnel, agents, assigns, advertising and promotional agencies, including without limitation Gelia, shall not be responsible for: (a) Entries, Prize claims, notifications or other communications that are not received by the intended recipient, in whole or in part, due to computer or technical malfunction, or human error of any kind; (b) telephone, electronic, hardware, software, network, internet or computer or communications malfunctions, failures or difficulties, including public utility or telephone outages, omissions, interruptions, deletions or defects of any telephone system or network, computer online systems, computer equipment, servers or service providers; (c) typographical, printing or other errors, or any combination thereof; (d) inability to access the Website or any web pages of the Sponsor or any third party; (e) theft, tampering, destruction, or unauthorized access to, or alteration of, Entries; (f) data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or transmission systems, or the internet, or any service provider’s facilities, or any phone site or website or for any other reason whatsoever; (g) any injury or damage to an Entrant’s or any other person’s computer relating to or resulting from participation in this Promotion; or (h) any obscene, offensive, illegal, tortious, defamatory, infringing, or other objectionable content uploaded or posted by any Entrant or third party in connection with the Promotion. If the operation, security, or administration of this Sweepstakes is impaired in any way for any reason, including, but not limited to, fraud or a technical problem, the Sponsor may, in its sole discretion, either (a) suspend this Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules, or (b) award the Prizes at random from among the eligible Entries received up to the time of the impairment. Any individual’s use of robotic, automatic, scripted, programmed or similar entry methods will void all Entries by that individual. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the Entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of this Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Entrants are subject to and must comply with all applicable terms and conditions, policies and rules of third parties including Facebook®, Instagram®, AND X® (FKA TWITTER®) including, without limitation, with respect to the posting of content on such sites. Entrants agree to post content in accordance with and permit Sponsor’s use of any content posted by Entrant to any social media platform in accordance with Sponsor’s Social Media and Photo and Video Terms & Conditions which are available at https://www.caterpillar.com/en/legal-notices/social-media-photo-video-terms-conditions.html.  

12. LIMITATION OF LIABILITY: By entering the Sweepstakes, each Entrant (a) acknowledges compliance with these Official Rules, including all eligibility requirements; (b) agrees to be bound by the decisions of the Sponsor, which are final and binding in all respects; (c) agrees that the Sponsor has sole discretion to resolve any disputes as it sees fit; and (d) agrees that neither the Entrant nor his/her heirs, successors, or assigns will assert any claim related to damages, losses or injuries against FACEBOOK®, INSTAGRAM®, AND TWITTER®, any other third party platform or the Sponsor or its related corporations, parent companies, subsidiaries, franchisees, advertising or promotional agencies, including without limitation Gelia, attorneys, Prize providers and affiliated entities, and each of their respective parents, subsidiaries, limited liability companies, affiliates and each of their respective employees, shareholders, directors, officers, members, personnel, agents and assigns. The Sponsor and its related entities, parent companies, subsidiaries, limited liability and affiliate companies, franchisees, advertising and promotional agencies, including without limitation Gelia, attorneys, Prize providers and affiliated entities: (i) make no warranty, guaranty or representation of any kind concerning the Prize; (ii) disclaim any implied warranty; (iii) are not in any way responsible or liable for damage, loss or injury of any kind including, but not limited to death or bodily harm, actually or allegedly arising from entry into the Sweepstakes or acceptance and/or use of the Prize; (iv) disclaim any responsibility for any actual or alleged loss (financial or otherwise), injury or damage to persons or property which may be caused directly or indirectly, in whole or in part, from downloading any material from any website, regardless of whether the material was prepared by the Sponsor or a third party, and regardless of whether the material is connected to the website by a hypertext link; and (v) disclaim any liability for the termination, suspension or modification of the Sweepstakes for any reason or through the acts or defaults of any company or person fulfilling any portion of the Prize.   

13. RELEASE: Entrants understand that the Sponsor is not liable for losses or damages of any kind arising from participation in this Sweepstakes or by winning and acceptance of the Prize. By participating in the Sweepstakes, all Entrants agree to release and hold harmless the Sponsor and its parent, subsidiaries, limited liability and affiliate companies, its advertising and promotional agencies, including without limitation Gelia, and each of their respective employees, shareholders, directors, officers, members, personnel, agents, attorneys and assigns (all such individuals and entities collectively referred to herein as the “Releasees”) from any and all damages, injuries, claims, causes of action, or losses of any kind resulting in whole or in part, directly or indirectly, from such Entrant’s participation in the Promotion, any breach of these Official Rules or Cat Credit Rules, or award, acceptance, possession, use or misuse of the Prize, including without limitation: personal injury, death, property damage, defamation, infringement of intellectual property rights, and claims based on the rights of publicity and privacy.  THIS LIMITATION OF LIABILITY IS A COMPREHENSIVE LIMITATION OF LIABILITY OF ANY KIND, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES; LOSS OF DATA; INCOME OR PROFIT; LOSS OR DAMAGE TO PROPERTY; CLAIMS OF THIRD-PARTIES, AND ANY OTHER DAMAGES OR LOSSES, AND THE RIGHT TO HAVE ANY DAMAGES MULTIPLIED OR OTHERWISE INCREASED.  Each Entrant further agrees to fully indemnify the Releasees from any and all claims by third parties relating to the Promotion, without limitation. 

EACH ENTRANT FURTHER UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES INCLUDING WITHOUT LIMITATION THE DISTRICT OF COLUMBIA ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS: 

1542. CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR. 

14. TERMINATION: The Sponsor reserves the right, in its sole discretion, to terminate the Sweepstakes, in whole or in part, and/or modify, amend or suspend the Sweepstakes, and/or the Official Rules in any way, at any time, for any reason without prior notice. 

15. SEVERABILITY:  If any term or provision of these Official Rules is declared invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby and such provision shall be ineffective only to the extent of such invalidity, illegality or unenforceability. 

16. APPLICABLE LAW AND DISPUTES: This Sweepstakes is subject to all applicable U.S. federal, state, and local laws and regulations. Issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the laws of the State of Delaware, without regard to any principles of conflict of laws. All disputes arising out of or connected with this Sweepstakes will be resolved individually, and without resort to class action, exclusively by a state or federal court having situs in Delaware. All claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorney’s fees. Each Entrant irrevocably consents to the jurisdiction of such court in connection with any such dispute.  

17. The rights and obligations hereunder may not be assigned by Entrant whether by operation of law or otherwise without the prior written consent of the Sponsor and any attempted assignment in violation shall be null and void. These Official Rules shall be binding upon and inure to the benefit of any permitted successors and/or assigns of the Sponsor and the Entrant.
